1. Acceptance of Terms

By accessing, browsing, or using any part of the website www.panda-core.net (the "Website") or any tools, services, or content provided on it (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree with any part of these Terms, you must immediately stop using the Service.

Minors: You must be at least 16 years old to use this Service (age threshold set in accordance with Art. 8 GDPR for EU users). If you are under 16, you may only use the Service with verified parental or guardian consent.

These Terms constitute a legally binding agreement between you ("User") and the operator of Panda-Core (Panda-Core Admin).

2. About Panda-Core — Independence Notice

Panda-Core is an independent, privately operated web tools project. It is not affiliated with, sponsored by, endorsed by, or otherwise connected to:

• Panda Security S.L. (maker of Panda Antivirus software)
• Panda Video (B2B video hosting service)
• Google LLC or YouTube LLC
• TikTok Inc. / ByteDance Ltd.
• Meta Platforms Inc. (Facebook, Instagram)
• Any other company that uses "Panda" as a trademark

The name "Panda-Core" refers exclusively to this independent web tools platform. Any resemblance to existing trademarks is incidental and does not imply affiliation.

3. Description of Services

Panda-Core provides a free, browser-based collection of web development tools and utilities, including but not limited to:

• CSS tools: Box shadow generator, gradient generator, color palette generator
• Accessibility tools: Color contrast checker (WCAG), keyboard navigation tester, screen reader simulator
• Developer utilities: JSON formatter, CSV viewer, password generator, QR code generator, base64 encoder/decoder
• SEO tools: Sitemap generator, meta tag utilities
• Media tools: Video downloader (see Section 4 for specific terms)
• Guides & documentation: Educational articles for web developers

The Service is provided free of charge. No user account or registration is required to use the tools. We reserve the right to add, modify, or discontinue any feature at any time without notice.

4. Video Downloader — Special Terms

4.1 Purpose & Permitted Use

The Video Downloader is a technical utility that allows users to download publicly accessible video and audio content from supported platforms. It is intended exclusively for:

• Downloading content you have created yourself
• Downloading content that is in the public domain
• Downloading content for which you hold an explicit licence or permission from the rights holder
• Downloading content under applicable fair use / fair dealing exceptions in your jurisdiction
• Creating a personal backup of content you are entitled to retain

4.2 Copyright Compliance — Your Responsibility

You are solely and exclusively responsible for ensuring that any content you download complies with:

• The copyright laws of your country and the country of origin of the content
• The Terms of Service of the platform from which the content originates (e.g. YouTube Terms of Service, TikTok Terms of Service)
• Any licences, content licences, or rights agreements that may apply

Panda-Core does not grant you any rights to third-party content. Downloading copyrighted material without authorisation may constitute copyright infringement and is illegal in most jurisdictions. We accept no liability for any copyright infringement carried out by users of this tool.

4.3 Platform Terms of Service

Many video platforms (including YouTube, TikTok, Instagram, Facebook, Vimeo, and others) prohibit downloading of content in their Terms of Service. By using our Video Downloader, you acknowledge that:

• You have read and understand the Terms of Service of the source platform
• You accept any consequences arising from a breach of those platform terms
• Panda-Core is not responsible for any account suspension or ban resulting from your use of this tool

4.4 No Permanent Storage — Technical Process

For transparency, this is exactly what happens technically when you use the Video Downloader:

1. You enter a video URL. It is sent to our server.
2. Our server fetches metadata (title, thumbnail, available formats) from the source platform.
3. Upon your request, our server downloads the video/audio to a temporary file.
4. A one-time secure download token is generated and you receive the file.
5. The temporary file is automatically and permanently deleted within 1 hour, regardless of whether you completed the download.

We do not permanently store, host, publish, redistribute, or profit from third-party video or audio content.

4.5 Prohibited Uses of the Video Downloader

4.6 Rate Limiting & Fair Use

To ensure fair access for all users, we apply rate limiting to the Video Downloader. Automated, excessive, or abusive requests may result in temporary or permanent restriction of access to this tool without notice.

5. Acceptable Use Policy

Violation of this Acceptable Use Policy may result in immediate suspension of access to the Service and, where applicable, legal action.

6. Intellectual Property

6.1 Our Property

All rights, title, and interest in and to the Service — including its design, layout, source code, algorithms, branding, logos, documentation, and written content — are owned by or licensed to the operator of Panda-Core. These are protected by German and international copyright law (Urheberrechtsgesetz) and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose under these Terms.

6.2 Your Generated Content

Content you create using our tools (e.g. CSS code, color palettes, formatted data, generated text) belongs to you. You are free to use it for any purpose, commercial or otherwise, without attribution to Panda-Core.

6.3 Third-Party Content

Our Service may integrate or reference third-party tools, libraries, or services (e.g. Font Awesome, Google Fonts). These remain subject to their respective licences and terms. We make no claim of ownership over third-party components.

Any third-party video or audio content processed via the Video Downloader tool remains the property of its original rights holders. Nothing in these Terms grants you any rights to such content.

7. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by this reference. The Privacy Policy explains what data we collect, on what legal basis, and what rights you have under the GDPR.

Key points:

• Most tools process data locally in your browser — nothing leaves your device
• The Video Downloader requires temporary server-side processing (see Section 4.4)
• We use Google AdSense for advertising — see the Privacy Policy for details and opt-out options
• We do not sell your personal data

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any representation or warranty of any kind, whether express or implied.

To the extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or free of viruses
• Warranties regarding the accuracy, completeness, or reliability of any tool output
• Warranties that the Service will meet your specific requirements or expectations

9. Limitation of Liability

To the maximum extent permitted by applicable law, the operator of Panda-Core shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

This includes, without limitation, damages for:

• Loss of data, revenue, profits, or business opportunities
• Costs of substitute services
• Interruptions or unavailability of the Service
• Any copyright infringement you commit using the Video Downloader or any other tool
• Inaccuracies in tool output that you relied upon in a commercial or professional context

10. Indemnification

You agree to defend, indemnify, and hold harmless the operator of Panda-Core and any associated persons from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any copyright infringement you commit through use of the Video Downloader
• Your violation of any applicable law or regulation
• Any content or data you submit to or process through the Service

11. Termination of Access

We reserve the right to restrict, suspend, or permanently block access to the Service — in whole or in part — for any user at any time and without prior notice if we reasonably believe that:

• You have violated these Terms
• You are engaging in abusive, fraudulent, or illegal use of the Service
• Continued access poses a risk to the Service or other users

Since no user account is required, access termination is typically implemented via IP address blocking or rate limiting. You may stop using the Service at any time.

Sections 4, 5, 6, 8, 9, 10, and 12 of these Terms survive any termination.

12. Governing Law & Jurisdiction

These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and German private international law rules that would result in the application of a different law.

If you are a consumer resident in an EU member state, you additionally benefit from the mandatory consumer protection provisions of your country of residence.

Place of jurisdiction: To the extent legally permissible, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is the registered domicile of the operator. Oslo.

EU Online Dispute Resolution: The European Commission provides an online dispute resolution (ODR) platform at https://ec.europa.eu/consumers/odr/ . We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

13. Severability & Entire Agreement

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable. All other provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and Legal Notice (Impressum), constitute the entire agreement between you and the operator of Panda-Core with respect to the Service and supersede all prior agreements, representations, and understandings.

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. For significant changes affecting your rights, we will publish a notice on the Website.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service.
